These Terms of Use (the “Terms”) are a binding contract between you and THE LIVE GREEN CO. (“The Live Green,” “we,” and “us”). You represent and warrant that you are an individual of legal age to form a binding contract. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy. Your use of or participation in certain Services may also be subject to additional policies, rules, and/or conditions (“Additional Terms”), which are incorporated herein by reference. By using such Services, you agree to also comply with these Additional Terms.

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the Services, by sending you an email, or by some other means.

If you don’t agree with the new Terms, you are free to reject them; however, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes. Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

What About My Account?
You may be required to sign up for an account and select a password and user name (“The Live Green User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your The Live Green User ID a name that you don’t have the right to use, or another person’s name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You are responsible for all activities that occur under your account, and you agree to notify us immediately of any unauthorized use of your account.

What Are My Rights in the Services?
The materials displayed or performed or available on or through the Services (including, but not limited to, text, graphics, articles, photographs, images, and illustrations (also known as the “Content”) are protected by copyright and/or other intellectual property laws. You agree to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LIVE GREEN, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER OR NOT THE LIVE GREEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE LIVE GREEN’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED FIVE THOUSAND ($5,000) DOLLARS.

Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion, at any time, without notice to you.

Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
